**TERMS AND CONDITIONS LEASE A BIKE - Photo Contest Week of Mobility 16-22 September 2024 (version 1.0)**

**General**

1.1. These terms and conditions (hereinafter: the "Terms and Conditions") apply to the Photo Contest Week of Mobility 2024 (hereinafter: the "Contest"). The Contest is organized by Lease a Bike, part of Bike Mobility Services Belgium B.V. ("BMS"), located at Herrmann-Debrouxlaan 54 (1160) in Oudergem, Belgium, to promote Lease a Bike.

1.2. BMS (Herrmann-Debrouxlaan 54, 1160 Oudergem) is the legal entity responsible for all collection and processing of your personal data in connection with this Lease a Bike Contest. BMS is part of Pon Holdings B.V. and its affiliated companies ("Pon"). BMS and Pon are committed to respecting and protecting your privacy and the protection of the personal data you share with us.

1.3. The Contest will be promoted (i) via email, specifically to companies that are Lease a Bike customers during the Contest (https://www.lease-a-bike.be/winactie-il-lombardia-klanten), (ii) via the campaign page on the Lease a Bike website, (iii) on Google, (iv) on the Instagram, LinkedIn, and Facebook pages of Lease a Bike (hereinafter: the "Social Media Pages"). Google, Instagram, Facebook, and LinkedIn are not involved in or responsible for the Contest. The Contest is not sponsored, endorsed, or administered by Google, Instagram, LinkedIn, and/or Facebook. Google, LinkedIn, Instagram, and/or Facebook are in no way connected to and/or liable for the Contest.

1.4. While the Contest may be promoted in the email newsletter and on the Instagram, LinkedIn, and Facebook pages of Yellow B. Cycling B.V. (Team Visma | Lease a Bike) (https://www.instagram.com/teamvisma_leaseabike/, https://www.facebook.com/vismaleaseabike/, https://www.linkedin.com/company/teamvismaleaseabike/), Team Visma | Lease a Bike as an organization is not involved in or responsible for the Contest. The Contest is not sponsored, endorsed, or administered by Team Visma | Lease a Bike. They are in no way connected to and/or liable for the Contest.

**Who can participate?**

2.1. Participation in the Contest is open exclusively to individuals working for a company based in Belgium and who are over 18 years old (hereinafter: the "Participants").

2.2. By participating in the Contest, the Participant agrees to these Terms and Conditions.

2.3. Excluded from participation in the Contest are all employees and family members of employees of Lease a Bike, as well as third parties who are in any way involved in the Contest.

2.4. Companies whose products, goods, or services compete with any (other) sponsors of Team Visma | Lease a Bike are excluded from participation in the Contest (entirely at the discretion of Lease a Bike and without the need for further justification), as well as companies that Team Visma | Lease a Bike or any of its sponsors (including Lease a Bike) do not wish to be associated with for the protection of their honor and reputation (entirely at the discretion of Lease a Bike and without the need for further justification).

2.5. If Lease a Bike suspects fraud, including but not limited to a violation of Article 2.3 and/or 2.4 of the Terms and Conditions, it reserves the right to exclude the Participant from the Contest and, if necessary, reclaim the Prize in accordance with Article 9.2.

**How and when can you participate?**

3.1. The Contest starts on September 16, 2024, at 00:01 and ends on September 22, 2024, at 23:59 (hereinafter: the "Contest Period"). During the Contest Period, Participants can submit photos to Lease a Bike via the campaign page (hereinafter: the "Campaign Page") on the Lease a Bike website (www.lease-a-bike.be).

3.2. An employer of a company that is affiliated with Lease a Bike during the Contest Period will receive a personal email with a link to the Contest before the campaign starts. Other companies will be notified via advertisements and social media.

3.3. Only original photos will be accepted. All photos created using AI or otherwise edited are excluded from participation. If the same photo is submitted multiple times, only the first submission will be considered. If a photo is taken from the internet, the Participant will be excluded from the Contest. Lease a Bike reserves the right to assess compliance with this condition at its discretion.

3.4. If a cyclist is recognizable in a submitted photo, the Participant guarantees that the recognizable cyclist has given permission for the use of their image by participating in the photo shoot. If a cyclist, or any other person, has a right to their image in the submitted photo, they give Lease a Bike permission to use, reproduce, and publish the photo, as well as to process their personal data for these purposes. This permission is granted free of charge.

**Prize**

4.1. The Participant from the company who submits the photo with the most cycling employees (on one photo during the Week of Mobility 2024) wins a free ticket to the Tour of Lombardy on October 11, 12, and 13, 2024. Lease a Bike encourages the Participant to use this prize to motivate employees within the company participating in the Week of Mobility to bike to work. We are happy to reward companies that promote cycling as a means of commuting.

4.2. On September 25, the winner of the Contest will be determined. The winner of the Tour of Lombardy ticket will be determined by counting the number of visible cyclists (employee + bike) in one photo.

4.3. All Participants in the Contest win a free Team Visma | Lease a Bike cycling jersey according to the conditions listed below. If there are 51 or more valid entries, only the first 50 entries will receive a jersey. All sizes are available for both men and women, but availability of sizes is valid while supplies last. When a specific size is out of stock, the closest size will be sent.

4.4. If two or more Participants have exactly the same number of cyclists in a photo, the Prize (i.e., free ticket to the Tour of Lombardy) will be raffled among all Participants with this number of cyclists in one photo. The winner will be determined using the website https://wheelofnames.com.

4.5. Prizes are non-transferable and cannot be exchanged for substitute prizes or cash.

4.6. Lease a Bike reserves the right to cancel a Prize in the event of force majeure situations that make the awarding or execution of the Prize unreasonable or impossible.

4.7. If a winner of a Prize is not allowed to accept the Prize for any reason by their employer, the right to the Prize will be forfeited. Lease a Bike will then select a new winner (based on the second-highest number of cyclists in one photo).

**Claiming a Prize**

5.1. The winner of a Prize will be notified via a personal email sent to the email address provided by the Participant. This email will state the deadline by which the Prize must be claimed.

5.2. After the winners are announced, they must respond to the email to confirm their acceptance of the Prize. The winners must provide their name and requested contact details in the email to Lease a Bike. Only then can the Prize be claimed.

5.3. If the winner does not send a confirmation email to Lease a Bike or otherwise respond in writing by the deadline mentioned in Article 5.1 of the Terms and Conditions, their claim to the Prize will be forfeited, and Lease a Bike reserves the right to award the Prize to another Participant.

**Personal Data and Privacy**

6.1. By participating in the Contest, the Participant agrees to the processing of their personal data by Lease a Bike and/or by parties engaged by Lease a Bike in accordance with the provisions of this article.

6.2. To enable participation in the Contest, determine the winners, and award the Prizes, it is necessary for Lease a Bike B.V. to process certain personal data of the winners. Lease a Bike processes the email address used to participate in the Contest to determine the winners and contact them. Additionally, a winner must provide their contact details in an email to Lease a Bike so that the Prize can be scheduled for collection. The Participant guarantees that all provided data is correct and complete.

6.3. Lease a Bike (i) will not collect more personal data than is necessary to award the Prize and will use the collected personal data exclusively for that purpose, which includes providing this data to anyone directly or indirectly involved in or connected to the organization of the Contest, and (ii) will not share the collected personal data outside the European Economic Area unless permitted under the General Data Protection Regulation (GDPR).

6.4. Collected personal data of the winner will be deleted no later than four weeks after the Contest Period, unless the winner has explicitly indicated they wish to receive mailings from Lease a Bike.

**Publicity**

7.1. By participating in the Contest, Participants agree that Lease a Bike may publish the name and photo(s) of the winning Participant in a social media post on its Social Media Pages after the Contest.
